Contract

This Contract Offer (the “Offer”) is issued by IOS ROCKET SOLUTIONS INC. LTD, trading as  iOS Rocket (the “Contractor”).

This Offer sets out the terms under which an eligible individual may join the Contractor’s development team for legitimate application-development and testing activities and receive the related Services.

Acceptance of this Offer creates a legally binding agreement between the Contractor and the Customer (the “Agreement”).

1. Definitions and Interpretation

1.1. Definitions

In this Agreement:

Acceptance means the Customer’s complete and unconditional acceptance of this Offer by submitting an Order and paying the full Order price.

Activation means the Customer’s use of the Activation Code and completion of the required activation steps, causing the Contractor to begin providing the Services.

Activation Code means the unique code issued to the Customer after payment and used to activate the purchased Package.

Apple means Apple Inc. and its applicable affiliates.

Apple Developer Account means a valid account enrolled in the applicable Apple developer program.

Apple Developer Certificate means a digital certificate issued by Apple for a purpose permitted under the Apple Rules.

Apple Rules means the Apple Developer Program License Agreement and all other applicable Apple agreements, policies, documentation, and technical requirements, as amended from time to time.

Customer means an eligible individual who accepts this Offer.

Development Team means the Contractor’s genuine development and testing team, constituted and operated in accordance with the Apple Rules.

Device means a supported Apple-branded device running iOS, iPadOS, or tvOS and identified by its UDID.

Instant Package means a Package identified as “Instant” on the applicable product page and in the Order Confirmation.

Lifetime Benefit Period means the period beginning on the initial Registration Date and continuing for as long as:

a. the Customer remains eligible for Development Team Membership and complies with this Agreement; and

b. the Contractor continues to offer, and remains legally and technically able to provide, the relevant benefit.

The Lifetime Benefit Period does not mean the natural lifetime of the Customer, the useful life of the Device, or guaranteed perpetual operation of the Contractor or the Service.

Non-Instant Package means a Package that is not identified as an Instant Package and requires 3 days ( 74 hours ) after activation to be issued .

Online Store means the website located at iosrocket.com, which is operated by the Contractor.

Order means a completed transaction submitted through the Online Store for which full payment has been successfully processed and credited to the Contractor.

Order Confirmation means the email or other durable record confirming the Customer’s Order, Package, price, and applicable Package benefits.

Package means the specific service package identified in the Customer’s Order Confirmation.

Provisioning Profile means a profile created through an Apple Developer Account that identifies one or more registered devices and permits authorized application development or testing in accordance with the Apple Rules.

Registration Date means the date on which the Customer’s UDID is successfully registered in the relevant Apple Developer Account.

Service Year means each consecutive 11/12 month period beginning on the initial Registration Date and each anniversary of that date.

Services means the Contractor’s assessment, onboarding, administration, support, and other work required to admit an eligible Customer to the Development Team. As an ancillary membership benefit, the Services may include registration of the Customer’s UDID and any access to Apple Developer Certificates or Provisioning Profiles that Apple permits.

UDID means the unique device identifier of a supported Apple-branded device.

Warranty Period means the revocation-protection period stated on the applicable product page and in the Order Confirmation at the time of purchase.

Working Day means any day other than a Saturday, Sunday, or public holidays.

1.2. Interpretation

References to “including” or “includes” mean “including without limitation”.

1.3. Order of Precedence

If the Order Confirmation, this Agreement, and the Terms of Use conflict, the following order of precedence applies:

a. the Order Confirmation, solely concerning Package-specific prices, durations, and benefits;

b. this Agreement; and

c. the Terms of Use.

Nothing in an Order Confirmation or other document authorizes any activity prohibited by applicable law or the Apple Rules.

2. Nature and Scope of the Agreement

2.1.

The Customer’s payment covers the Contractor’s time and resources in:

a. assessing the Customer’s eligibility;

b. admitting and onboarding the Customer as a genuine member of the Development Team;

c. administering the Services; and

d. providing support.

2.2.

UDID registration and any access to an Apple Developer Certificate or Provisioning Profile permitted by Apple are ancillary membership benefits provided without a separate charge.

The Customer is not purchasing ownership of an Apple Developer Account, Apple Developer Certificate, Provisioning Profile, device-registration slot, or Apple service.

2.3.

Subject to this Agreement, the Contractor will:

a. assess the Customer’s eligibility to participate in the Development Team;

b. assign or confirm a legitimate development or testing role;

c. register the Customer’s submitted UDID in an appropriate Apple Developer Account where permitted;

d. provide access to signing or provisioning materials only to the extent permitted by the Apple Rules; and

e. provide the support described in Section 10.

2.4.

The Services are intended solely for legitimate development and testing. They must not be used merely to obtain signing credentials, distribute unauthorized applications, evade Apple’s distribution systems, or obtain benefits that the Apple Rules do not permit.

2.5.

The relevant Apple Developer Account may be owned by the Contractor, the Customer, or a third party that has lawfully authorized the Contractor to administer it.

Any such arrangement remains subject to the Apple Rules. The Contractor is not required to disclose account credentials, private keys, or other security-sensitive materials where doing so would be prohibited or unsafe.

2.6.

Apple is not a party to this Agreement. The Contractor is an independent business and does not represent that it is sponsored, endorsed, or guaranteed by Apple.

3. Development-Team Eligibility and Apple Compliance

3.1.

Eligibility for the Services is conditional upon the Customer being and remaining a genuine, authorized member of the Development Team with a legitimate need to develop or test authorized applications.

3.2.

The Customer confirms that:

a. any Apple account or developer registration required for the Customer’s role is active and valid;

b. the Customer has a genuine development or testing purpose;

c. the registered Device is owned or controlled by the Customer and will be used only for authorized development and testing;

d. the Customer will comply with the Apple Rules and all reasonable instructions issued by the Contractor;

e. the Customer will not sell, sublicense, rent, lend, share, redistribute, or otherwise provide any certificate, profile, credential, account access, or membership benefit to another person;

f. the Customer will not use the Services to sign, install, or distribute an application unless that use is authorized by the Contractor, lawful, and permitted by the Apple Rules; and

g. the Customer will not use the Services for copyright infringement, malware, fraud, unauthorized access, circumvention, or any other unlawful or abusive purpose.

3.3.

The Customer must keep confidential all non-public technical, commercial, and Apple-related information received through the Development Team. The Customer may use that information only for the authorized development or testing purpose.

3.4.

The Contractor may request information or documents reasonably necessary to verify the Customer’s identity, eligibility, Device ownership or control, and intended development or testing activity.

3.5.

The Contractor may reject an application before Activation or suspend access if the Customer does not satisfy, or ceases to satisfy, these requirements.

If an application is rejected before the Activation Code is used, the Contractor will refund the amount paid.

4. Ordering and Activation

4.1.

Orders must be submitted through the Online Store. The Customer must provide complete and accurate information, including a working email address and the correct UDID.

4.2.

The Customer must review the Package description, price, this Agreement, and the Terms of Use before submitting an Order.

4.3.

After payment has been successfully processed, the Contractor will send an Activation Code and activation instructions to the email address supplied with the Order.

The Customer is responsible for checking the supplied email address, including its junk or spam folder.

4.4.

The Customer must follow the activation instructions and provide any additional information reasonably required to complete onboarding and registration.

4.5.

The Activation Code is personal to the Customer and may not be sold, transferred, published, or shared.

4.6.

Activation constitutes the Customer’s request for the Contractor to begin performing the Services immediately.

Where applicable law gives the Customer a cancellation period, the checkout and activation process must obtain any express request and acknowledgment required for performance to begin during that period.

4.7.

The Customer is responsible for verifying the UDID before Activation.

Once an incorrect UDID has been registered, it may be impossible to edit, replace, or remove it. Any correction will be handled according to the device-change entitlement included in the purchased Package.

5. Registration, Certificate Issuance, and Apple Delays

5.1.

The Contractor will begin processing the Services after Activation and receipt of all required information.

5.2.

For a Non-Instant Package, Apple may impose a certificate-eligibility cooldown of up to 33 days where the Device was previously associated with a certificate that was revoked or expired.

If this occurs, the Customer must wait until Apple permits a new certificate to be issued, Otherwise purchase an instant package that bypass this wait period .

5.3.

An Instant Package means that the Contractor will process the Customer’s request without avoidable internal delay.

Where a permitted registration route that does not require the ordinary cooldown is available, the Contractor will use that route. “Instant” does not guarantee that Apple will never impose a review, restriction, outage, or other delay.

5.4.

A certificate will normally remain usable for approximately 11–12 months, depending on Apple’s issuance and expiration dates.

A Service Year is nevertheless measured as 12 months from the Registration Date. Where a Package includes yearly renewals, the Customer may request a new certificate for each Service Year in accordance with Section 9.

5.5.

Apple controls its developer systems and may delay, refuse, suspend, expire, or revoke an account, certificate, profile, entitlement, or registration.

The Contractor cannot override Apple’s decisions and does not guarantee uninterrupted availability of Apple’s systems.

5.6.

Nothing in this Section limits a replacement or renewal benefit expressly included in the Customer’s Package.

6. Prices and Payment

6.1.

The Customer must pay 100% of the Order price in advance. The Contractor is not required to process an Order until cleared funds have been received.

6.2.

Payments are processed through Shopify Payments, Stripe, or another payment provider identified at checkout.

The Contractor does not directly store complete payment-card details where those details are handled by the payment provider.

6.3.

Prices are displayed in the Customer’s local currency by default where supported. The Customer may select another available currency using the currency selector on the Online Store.

The amount displayed at checkout is the amount payable, subject to any fees or currency-conversion adjustments imposed by the Customer’s payment provider.

6.4.

The Contractor may change its prices at any time. A price change applies only to Orders submitted after the new price is published and does not change the price of an existing paid Order.

7. Refunds and Cancellation Rights

7.1.

Subject to the Customer’s mandatory statutory rights, the Customer may request a refund while the Activation Code remains unused.

7.2.

Once the Activation Code has been used and the Contractor has begun onboarding or UDID registration, the payment is non-refundable, including where the Customer supplied an incorrect UDID, except where a refund is required by law.

7.3.

If the Contractor rejects the Customer’s Development Team application before Activation, the Contractor will provide a full refund.

7.4.

The Contractor will initiate an approved refund within five Working Days. The Customer’s bank or payment provider may require these five days to credit the refunded amount.

7.5.

Nothing in this Agreement excludes or restricts any cancellation, refund, repeat-performance, price-reduction, or other consumer right that cannot lawfully be excluded or restricted.

8. General Rights and Obligations

8.1.

The Contractor will perform the Services with reasonable care and skill.

8.2.

The Contractor may engage employees, contractors, payment processors, hosting providers, authorized Apple-account owners, and other service providers as reasonably necessary to perform the Agreement, provided that such engagement is lawful and consistent with the Apple Rules.

8.3.

The Customer must:

a. pay all charges when due;

b. provide accurate and current information;

c. promptly provide reasonably requested eligibility information or documentation;

d. follow the activation, security, and technical instructions supplied by the Contractor;

e. maintain access to the email address associated with the Order;

f. notify the Contractor promptly of certificate revocation, suspected credential compromise, unauthorized use, or another security issue; and

g. comply with this Agreement, the Terms of Use, applicable law, and the Apple Rules.

8.4.

The Customer is responsible for any application or other software the Customer develops, tests, obtains, or attempts to install, including its legality, licensing, security, and compliance with intellectual-property rights.

8.5.

The Customer must not:

a. probe, scan, or test the vulnerability of the Online Store or any connected system without written authorization;

b. attempt to gain unauthorized access to the Online Store, its systems, networks, accounts, or services;

c. interfere with the proper operation of the Services; or

d. impose an unreasonable or excessive load on the Contractor’s infrastructure.

9. Package Benefits

9.1. General Revocation Protection

9.1.1. The applicable Warranty Period and replacement entitlement are those stated on the product page and in the Order Confirmation at the time of purchase.

9.1.2. If a covered certificate is revoked during the Warranty Period, the Customer must contact the Contractor and provide the Order number and currently enrolled UDID.

Subject to the Customer’s continued eligibility and compliance with this Agreement, the Contractor will provide any replacement included in the applicable Package at no additional charge.

9.1.3. Revocation protection does not cover a revocation caused by the Customer’s breach of this Agreement, misuse, unauthorized distribution, credential sharing, unlawful activity, or loss of Development Team eligibility.

9.2. Annual Renewals

9.2.1. A Package includes free yearly renewals only where that benefit is stated on the product page and in the Order Confirmation.

9.2.2. To request a renewal, the Customer must contact the Contractor and provide the Order number and currently enrolled UDID.

9.2.3. Unless the Order Confirmation expressly states otherwise, an eligible Package includes one renewed certificate per Service Year.

A renewal request may be submitted at any time. No separate form or fixed request window applies.

9.3. Device Changes

9.3.1. Registrations are non-transferable unless the purchased Package expressly includes device changes.

9.3.2. When a permitted device change is completed:

a. the certificate associated with the previously enrolled UDID may continue to function until its natural expiration, unless Apple revokes or disables it earlier;

b. the previously enrolled UDID will not receive future certificates, renewals, or revocation protection;

c. the replacement UDID becomes the currently enrolled UDID; and

d. only the currently enrolled UDID receives future revocation protection and free yearly renewals.

9.3.3. A replacement certificate described as being issued “instantly” will be processed without avoidable internal delay but remains subject to Apple’s systems, availability, and rules.

9.4. Ultimate Lifetime Package

9.4.1. The Ultimate Lifetime Package includes one free certificate renewal per Service Year throughout the Lifetime Benefit Period.

9.4.2. The Package includes up to four replacement certificates at no additional charge following covered revocations during the Lifetime Benefit Period.

This is a total limit of four revocation replacements. Scheduled yearly renewals do not count toward this limit.

9.4.3. Any replacement required after the four included replacements may incur an additional charge. The amount of that charge will be disclosed before the Customer commits to the replacement.

9.4.4. The Ultimate Lifetime Package does not include device changes. Only the originally registered UDID is eligible for renewals and revocation protection. Registration of a different Device requires a new purchase.

9.5. Permanent Lifetime Package

9.5.1. The Permanent Lifetime Package includes yearly renewal and Lifetime Revoke Protection for the currently enrolled UDID throughout the Lifetime Benefit Period.

9.5.2. The Package includes the initial Device and up to three UDID changes. 

9.5.3. Each device change is governed by Section 9.3.

9.6. Everlasting Lifetime Package

9.6.1. The Everlasting Lifetime Package includes yearly renewal and Lifetime Revoke Protection for the currently enrolled UDID throughout the Lifetime Benefit Period.

9.6.2. The Package permits an unlimited total number of UDID changes during the Lifetime Benefit Period, subject to a maximum of three changes during each Service Year.

9.6.3. Each device change is governed by Section 9.3.

10. Support

10.1.

The Contractor provides support only for:

a. onboarding and Development Team Membership;

b. UDID registration;

c. certificate or profile activation;

d. yearly renewals;

e. covered certificate revocations; and

f. the functionality of the Services.

10.2.

The Contractor is not required to obtain, recommend, host, license, install, or troubleshoot third-party applications or other software.

10.3.

The Customer may request support by emailing support@iosrocket.com or by using the live-support facility on the Online Store.

The Customer must provide the Order number and enrolled UDID when requesting certificate replacement, renewal, or registration-related support.

11. Suspension and Termination

11.1.

The Customer may stop using the Services at any time. 

11.2.

The Contractor may suspend or terminate the Services immediately where reasonably necessary because:

a. the Customer breaches this Agreement, the Terms of Use, applicable law, or the Apple Rules;

b. the Customer is no longer eligible to participate in the Development Team;

c. the Contractor reasonably suspects fraud, copyright infringement, credential compromise, malware, unauthorized distribution, or another security risk;

d. Apple suspends, terminates, or restricts the relevant account, certificate, profile, program, or service; or

e. continued performance would expose the Contractor or another person to legal, regulatory, contractual, or security risk.

11.3.

Where circumstances permit, the Contractor will notify the Customer of a suspension or termination and explain any reasonable corrective action available.

11.4.

The Contractor may discontinue a Package or withdraw this Offer for future customers without affecting Agreements already formed.

11.5.

If the Contractor permanently discontinues an existing Lifetime Package for reasons unrelated to the Customer’s breach, the Contractor will notify affected Customers and provide any remedy required by applicable law.

11.6.

Termination does not affect any rights, liabilities, or obligations that arose before termination.

Provisions concerning confidentiality, intellectual property, liability, privacy, dispute resolution, and accrued payment obligations will survive termination where applicable.

12. Changes to this Agreement

12.1.

The Contractor may amend this Offer, its prices, payment methods, delivery methods, and operational procedures by publishing revised terms on the Online Store.

 

13. Liability and Events Beyond the Parties’ Control

13.1.

The Contractor is not responsible for a delay or failure caused by circumstances beyond its reasonable control, including:

a. an outage or failure affecting Apple, Shopify, Stripe, a bank, a communications network, hosting infrastructure, or another third-party service;

b. an Apple review, policy change, certificate revocation, account restriction, device-registration limit, or server disruption;

c. fire, flood, natural disaster, epidemic, war, civil disorder, industrial action, government action, or a change in law; or

d. another event that the Contractor could not reasonably prevent.

13.2.

The affected Party must notify the other Party as soon as reasonably practicable. The time for performance will be extended for the duration of the event where an extension is reasonable.

13.3.

The Contractor does not guarantee that the Online Store, Apple’s systems, certificates, profiles, or third-party services will always be uninterrupted or error-free.

13.4.

The Contractor is not responsible for third-party software installed or used by the Customer or for any loss resulting from unlawful, unlicensed, insecure, or unauthorized software.

13.5.

Nothing in this Agreement excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

 

14. Privacy and Personal Data

14.1.

The Contractor processes personal data in accordance with its Privacy Policy, available on the Website. The Privacy Policy explains the personal data collected, the purposes and lawful bases for processing, the recipients of personal data, international transfers, retention periods and the Customer’s rights.

14.2.

Data processed in connection with the Services may include:

a. the Customer’s name and email address;

b. the Customer’s UDID;

c. Order and payment information;

d. support communications;

e. eligibility information; and

f. technical activation records.

14.3.

Personal data may be disclosed to Apple, authorised Apple Developer Account owners, payment providers and other service providers where reasonably necessary to perform the Agreement or as otherwise described in the Privacy Policy.

14.4.

Further information concerning the purposes and lawful bases of processing, recipients, international transfers, retention periods, and the Customer’s data-protection rights must be provided in the Contractor’s Privacy Policy.

15. Intellectual Property

15.1.

The Online Store and its original content, branding, logos, graphics, and other materials are owned by or licensed to the Contractor and are protected by applicable intellectual-property law.

15.2.

The Customer may not reproduce, distribute, modify, publish, or commercially use those materials without the Contractor’s prior written permission.

Where permission is granted to reproduce website material, the Customer must provide an active link to the Online Store if requested.

15.3.

Apple’s names, trademarks, software, certificates, and services remain the property of Apple or its licensors. Nothing in this Agreement grants the Customer ownership of any Apple intellectual property.
